Terms & Conditions
These terms and conditions apply between the person, firm, company or other entity specified on your booking form (“you” or “your”) and Educo Life Sciences Ltd that is the owner, organiser and operator of the training (“Educo Life Sciences”). By submitting your registration to attend the Training (“your registration”) you agree to be bound by these terms to the exclusion of all other terms. If you do not agree to be bound by these terms Educo Life Sciences will be unable to accept your registration.
1. Fees and Payment Terms
1.1 You will pay Educo Life Sciences the fees specified in your booking form for the Training (“your fees”). Payment of your fees must be received in full and in cleared funds by Educo Life Sciences from you in accordance with Educo Life Sciences payment terms and in any event not later than 48 hours before the Training. If payment of your fees in full is not received before the Training, Educo Life Sciences may (at its sole discretion) either require such payment as a condition of your access to the Training or refuse your access to the Training.
1.2 All discounts can only be applied at the time of registration and discounts cannot be combined. All discounts are subject to Educo Life Sciences approval.
1.3 It is the intent of the parties that Educo Life Sciences will receive payment of your fees net of all applicable taxes, including without limitation, sales, VAT, service or withholding taxes (“Taxes”), all of which shall be paid solely by you. If and to the extent that any Taxes are levied upon, or found to be applicable to, the whole or any portion of the payment of your fees, the amount of such payment shall be increased by an amount necessary to compensate for the Taxes.
2. Access to and Use of an online Training Platform. This clause shall only apply where the whole or any part of the Training is provided in a virtual format.
2.1 You undertake to be responsible for any technical requirements needed to enable you to access the Training Platform made available by Educo Life Sciences to facilitate participation in the Training (the “Training Platform”).
2.2 We do not guarantee that the Training Platform will operate continuously, securely or without errors or interruption, and we do not accept any liability for its temporary unavailability. We do not guarantee that the Training Platform and/or any content thereon (including, without limitation, any content available for download) will be free from viruses, infections, Trojan horses, worms and/or any other code that has contaminating or destructive properties.
2.3 Educo Life Sciences may issue you with a username and password. Usernames and passwords are confidential and remain the property of Educo Life Sciences at all times and may not be sold, assigned or transferred to any third party without our permission. Your username and password are personal to you. You hereby agree that you will not permit others to use your username or password and you will be and remain liable for the acts of any person using your username and password.
2.4 You shall not make libellous postings or any postings which are illegal or infringe the intellectual property rights of any third party. Educo Life Sciences will not be responsible for monitoring Materials for compliance with law.
2.5 You may use the Training Platform solely for access to the Training. Without limitation, you must not: (i) download, store, reproduce, transmit, display, copy, distribute, exploit or use the Training Platform and/or any content thereon for your own commercial gain, (ii) use the Training Platform and/or any content thereon in any manner other than in compliance with law and these terms and conditions, (iii) infringe our intellectual property rights or those of any third party in relation to your use of the Training Platform and/or any content thereon
3. Intellectual Property
3.1 Educo Life Sciences (or the Trainer, its subcontractors, agents, consultants or employees as the case may be) owns or is licensed the Intellectual Property Rights in the Training Services.
3.2 Educo Life Sciences grants (and will procure that the Trainer, its subcontractors, agents, consultants or employees as appropriate will grant) to the Client a personal, non-exclusive, non-transferable licence to use the Training Materials provided that each copy of the Training Materials provided in connection with the Training Services may be only used by the single employee of the Client to who they were provided for their own use and retention solely in connection with the Client’s own internal business purposes.
3.3 The Client may not reproduce, transmit, display, copy, distribute, resell, sub-license, rent, lease, transfer or attempt to assign the rights in or commercially exploit or use the Training Materials, alter or create derivative works from the Training Materials or otherwise use or exploit the Training Materials other than as expressly permitted.
4. Cancellation by You
You will receive a refund of your fees paid to Educo Life Sciences (if any) if you cancel your registration 21 days or more before the Training. The Company regrets that the full amount of your fee remains payable in the event that your cancellation is 20 days or less before the Training or if you fail to attend the Training. All cancellations must be sent by email to [email protected].
5. Change to or Cancellation of the Event by Educo Life Sciences
5.1 Educo Life Sciences may (at its sole discretion) change the format (including, without limitation, from a physical in-person Training to a virtual Training and vice versa), speakers, participants, content, venue location and programme or any other aspect of the Training at any time and for any reason, whether or not due to a Force Majeure Event, in each case without liability.
5.2 Educo Life Sciences may (at its sole discretion) change the date or cancel a Training at any time for any reason giving written notice to you.
5.3 Where a Force Majeure Event has or may have (in Educo Life Sciences sole discretion) an adverse impact on the ability of Educo Life Sciences to hold the Training, any of your fees received by Educo Life Sciences shall be applied to any rearranged or rescheduled Training and you shall not be entitled to object to such rearranged or rescheduled Training or have any right to claim any compensation in respect thereof.
5.4 For the purpose of these terms and conditions “Force Majeure Event” means any event or circumstance arising that is beyond the reasonable control of Educo Life Sciences (including but not limited to governmental laws, ordinances, regulations, requisitions, restrictions, guidelines, recommendations or action, imposition of sanctions, embargo, military action, acts or threats of terrorism or war, mob, civil commotion or riot, health scares (including without limitation, epidemic and pandemic (e.g., COVID-19), whether or not new, ongoing or recurring), fire, acts of God, flood, drought, earthquake, severe weather, disaster, disruption to transportation, third party contractor/supplier failure, venue damage or cancellation, industrial dispute, strikes, labour disputes, interruption/failure of utility service, lack of commodities or supplies, accidents, nuclear, chemical or biological contamination, speaker or participant cancellation or withdrawal, or any other comparable calamity or casualty).
5.5 To the fullest extent permitted by the applicable law, Educo Life Sciences shall not be liable to you for any loss, delay, damage or other liability incurred resulting from or arising in connection with the cancellation or date change of a training howsoever arising or any venue change.
6. Data Privacy
6.1 For the purposes of this Condition 6. the terms personal data, controller, processor, processing, data subject and supervisory authority shall have the meanings ascribed to them under the General Data Protection Regulation (Regulation (EU) 2016/679) (“Regulation”)
6.2 For the purposes of your registration and either party’s processing of personal data in connection with this Agreement, the parties agree that each party acts as a data controller. Each party shall only process personal data in compliance with, and shall not cause itself or the other party to be in breach of, Data Protection Law,
7. Limitation of Liability
To the fullest extent permitted by the applicable law, Educo Life Sciences excludes: (a) all liability for loss, injury or damage to persons or property at the Training; (b) all indemnities, warranties, representations (whether express or implied); and (c) any actual or alleged indirect loss or consequential loss, any loss of profits, anticipated profits, savings, loss of business revenue, loss of business, loss of opportunity, loss of goodwill, or any other type of economic loss, suffered by you howsoever arising. If Educo Life Sciences is liable to you for any reason, Educo Life Sciences total liability to you in relation to the Training (whether under these terms or conditions or otherwise) is limited to the amount of your fees received by Educo Life Sciences.
8. Miscellaneous
8.1 If, by reason of any Force Majeure Event, Educo Life Sciences is delayed in or prevented from performing any of its obligations to you under these terms and conditions or otherwise, then such delay or non-performance shall not be deemed to be a breach of these terms and conditions and no loss or damage shall be claimed by you by reason thereof.
8.2 Educo Life Sciences reserves the right to amend these terms and conditions from time to time. However, you will be subject to the terms and conditions in force at the time you submit your registration.
8.3 No person other than you and Educo Life Sciences shall have the right to enforce these terms and conditions between us without the prior written agreement of you and Educo Life Sciences.
9. Governing Law and Jurisdiction
9.1 This Agreement is governed by English law and the Client submits to the exclusive jurisdiction of the English courts. Nothing shall prevent or restrict Educo Life Sciences from pursuing any action against the Client in any court of competent jurisdiction.
