Terms of Business for Open Courses
These Terms of Business apply to any individual, company, or organisation (“you” or “your”) booking an open course with Educo Life Sciences Ltd (“Educo Life Sciences”, “we”, “us” or “our”). By registering for a training course, you agree to be bound by these terms. Open courses are regular courses we deliver throughout the year in online, in-person or hybrid formats. They are advertised on our website.
- Booking, Fees & Payment
- The course fee (“your fee”) is specified at the time of booking and must be paid in full before the course begins.
- Payment must be received in cleared funds no later than 48 hours before the course start date. If payment is not received, we reserve the right to deny access to the training.
- Discounts are only valid at the time of booking and cannot be combined. All discounts are subject to approval.
- Course fees are exclusive of VAT or any applicable taxes, which are payable by the participant. If taxes apply, the total amount due will be adjusted accordingly.
- Access to Virtual Training (If Applicable)
- If your training is delivered online, you are responsible for ensuring you meet the technical requirements to access our training platform.
- We do not guarantee uninterrupted access to the platform and accept no liability for technical issues beyond our control.
- Your login credentials are confidential and must not be shared. You are responsible for any actions taken using your login details.
- You must not post defamatory or illegal content on the training platform. Educo Life Sciences is not responsible for monitoring content posted by participants.
- Training materials and content provided through the platform are for personal use only and must not be copied, shared, or distributed.
- Intellectual Property
- Educo Life Sciences owns or is licensed to use all intellectual property related to the training materials and content.
- You are granted a personal, non-transferable licence to use the training materials for your own professional development.
- You may not reproduce, share, sell, or distribute the training materials in any format without prior written consent.
- Cancellations & Refunds (By You)
If you need to cancel your course registration:
- 21+ days before the course: Full refund of fees paid.
- 20 days or less before the course: No refund. Full course fee remains payable.
- If you do not attend the training, no refund will be issued.
- Cancellations must be submitted in writing via email to [email protected].
- Changes & Cancellations (By Educo Life Sciences)
- We reserve the right to change the format, venue, speakers, or content of a course at any time.
- If necessary, we may change the course date or cancel the course and will notify you as soon as possible.
- If the course is rescheduled due to force majeure (e.g. extreme weather, venue issues, travel disruptions, government restrictions), your booking will be transferred to the new date. No refunds will be issued.
- Data Protection & Privacy
- Both parties act as independent data controllers in relation to personal data.
- Educo Life Sciences complies with UK GDPR and data protection laws. Your personal data will be used for training administration and will not be shared with third parties without consent.
- You agree not to misuse or share any personal data of other course participants.
- Limitation of Liability
- To the fullest extent permitted by law, Educo Life Sciences is not liable for any loss, damage, or injury resulting from attending the course.
- We do not accept liability for indirect losses, such as loss of business, revenue, or goodwill.
- If we are found liable for any reason, our total liability is limited to the course fee paid.
- Force Majeure
- We are not responsible for any failure or delay in providing training due to events beyond our control, including but not limited to:
- Government restrictions or regulations
- Industrial disputes, strikes, or supplier failures
- Natural disasters, extreme weather, or pandemics
- Travel disruptions or venue cancellations
- In such cases, we will reschedule the training, but no refunds will be issued.
- Governing Law & Jurisdiction
- These terms are governed by English law. Any disputes will be subject to the exclusive jurisdiction of the English courts.
- Educo Life Sciences reserves the right to pursue claims in any appropriate jurisdiction.
- Discounts & Promotions
- Only one discount or promotional offer can be applied per booking.
- Discount codes cannot be used with other discount codes unless explicitly stated.
- Discount codes can be applied to early bird pricing unless explicitly stated.
- All offers are subject to availability, and we reserve the right to withdraw a promotion at any time.
Terms of Business for Team Training Solutions
- Introduction
Educo Life Sciences Ltd provides professional training services to organisations within the life sciences sector. These Terms of Business govern the provision of our team training solutions, ensuring clarity and transparency in our engagement with clients. Team training is when we work directly with a customer, delivering a course specifically for their team.
1.1 Confirmation of Training & Applicability of Terms
- By confirming in writing a team training course with Educo Life Sciences, you agree to these Terms of Business.
- Any subsequent modifications, rescheduling, or cancellations will be subject to the relevant clauses within these terms.
- Training Services
- Educo Life Sciences provides team training solutions as per the agreed course content, format, and schedule.
- Training may be delivered in-person at a client-specified venue or virtually via our online training platform.
- Clients will receive a digital copy of the training materials. Any printed materials required are the responsibility of the client.
- Educo Life Sciences reserves the right to provide similar training services to other clients.
- Client Responsibilities
- The client is responsible for ensuring the suitability of the training venue, including compliance with health and safety regulations.
- All necessary arrangements for venue setup, catering, audio-visual equipment, and other required facilities must be made at the client’s expense.
- The final number of participants must be confirmed at least 7 days before the training start date.
- The client is responsible for ensuring participants attend the training. No fee reductions or refunds will be provided for non-attendance.
- Fees & Payment
- Fees are as specified in the agreed training proposal and must be paid in full before the final day of the training.
- Any pre-approved reimbursable expenses incurred by Educo Life Sciences must be paid within 30 days of the invoice date.
- All payments must be made in cleared funds to the bank account specified on the invoice.
- Prices exclude VAT or any other applicable taxes, which must be paid by the client where relevant.
- Changes & Cancellations
5.1 Changes by the Client
- Any changes to the training content, format, or participant numbers must be requested in writing and approved by Educo Life Sciences.
- If changes result in additional costs, a revised fee may apply. If the client does not accept the revised fee, the training will proceed as originally agreed, or the cancellation terms below will apply.
- If the client requests a change to the training dates, they will be responsible for covering any stranded expenses already incurred by Educo Life Sciences, such as trainer costs, venue fees, or other non-refundable expenses. These must be reimbursed in full before the new training date is confirmed.
5.2 Changes by Educo Life Sciences
- We reserve the right to make minor amendments to the training course to improve its quality or to replace a trainer if necessary.
- If a course date needs to be changed, we will notify the client as soon as possible and offer a rescheduled date.
5.3 Client Cancellations
If a client wishes to cancel a training course, the following fees apply:
- 25 – 15 days before training: 50% of the total fee plus any incurred expenses.
- 14 days or less before training: 100% of the total fee plus any incurred expenses.
5.4 Force Majeure & Unforeseen Circumstances
- In the event of circumstances beyond our control (e.g., venue closure, trainer unavailability, natural disasters), we will offer an alternative training date.
- If rescheduling is not possible, either party may cancel the course, with refunds subject to any incurred expenses.
- Intellectual Property
- All training materials, content, and resources provided by Educo Life Sciences remain our intellectual property.
- Clients may use training materials solely for internal use by the specified course participants.
- Materials may not be copied, distributed, resold, or used for commercial purposes without prior written consent.
- Confidentiality & Data Protection
- Both parties agree to keep any confidential information shared during the training engagement secure.
- Educo Life Sciences complies with UK GDPR and data protection laws. Personal data will only be used for the purpose of delivering training and will not be shared with third parties without consent.
- Clients agree not to disclose any proprietary or confidential training materials to external parties.
- Non-Solicitation
- Clients may not directly engage, employ, or contract any Educo Life Sciences trainers, employees, or consultants within 14 months of the last day of training.
- Any approach to a trainer for additional work must be referred to Educo Life Sciences.
- Use of Online Training Platforms
- If training is delivered virtually, clients are responsible for ensuring they have the necessary technical setup to access the online platform.
- Educo Life Sciences does not guarantee uninterrupted access to online platforms and is not responsible for technical issues outside our control.
- Login credentials are for individual use only and must not be shared.
- Liability
- Educo Life Sciences provides training services with reasonable skill and care but does not accept liability for any indirect or consequential losses.
- Our total liability is limited to the total fees paid for the training course.
- We are not responsible for losses due to non-attendance, failure to apply training content, or client-imposed limitations on training effectiveness.
- Governing Law
- These Terms of Business are governed by English law, and disputes will be subject to the jurisdiction of the English courts.
